SURCHARGE/TAXES: All invoices are subject to: 3% Environmental fee and 6% Florida sales tax.
PAYMENT, COLLECTION: All bills must be paid prior to departure of the Vessel from our facility. There will be no exceptions to this rule. A signed credit card imprint is required upon arrival of the Vessel as a deposit for all work and other charges under this Agreement. The credit card account will be charged 3.5% for any payments not made when due. Wire transfer, checks drawn on a U.S. Bank, Visa, MasterCard and Amex are all accepted forms of payment. **There is a 2.95% processing fee for credit card payment, and NO FEES for domestic or international wires .** This agreement shall be governed by, construed and enforced according to the laws of the State of Florida, except where specifically preempted by federal law. In the event that any portion of this Agreement is determined to be invalid or unenforceable, the remaining terms shall remain in full force and effect. The Vessel, its legal Owner, and its beneficial owner if different from legal Owner, hereby submit to personal jurisdiction, and stipulate to venue for any action arising under or relating to this Agreement, in Broward County, Florida or the U.S. District Court for the Southern District of Florida. Additionally, if the legal and/or beneficial Owners of the Vessel are foreign individuals or entities, they hereby waive the requirements for service of process under the Hague Convention and agree to accept service of process by mail, return receipt requested. If any party to this Agreement initiates any legal action, the prevailing party(ies) shall be entitled to recover from the non-prevailing party(ies) all reasonable attorney fees, court costs, and other expenses incurred in connection with same (through and including all pre suit negotiations, mediations, trial court proceedings, and appeals). Owner hereby acknowledges and agrees that all sums due UMC under this Agreement are secured by a lien against the Vessel, its tenders, machinery, and equipment.
PROOF OF INSURANCE AND OWNERSHIP:
All vessels will provide UMC with a copy of their current vessel insurance policy and vessel ownership certificate/document upon arrival.
1) OUTSIDE CONTRACTORS REQUIREMENTS:
a) Certificate holder: UNIVERSAL MARINE CENTER INC and UNIVERSAL SHIPYARD LLC as a Certificate Holder and Additional Insured
– General Liability minimum of $1,000.000.000 – Certificate holder is an additional insured with regards to General Liability – Certificate holder is hold harmless “WAIVER OF SUBROGATION” with regards to Workers Compensation Liability - (if workers compensation exempted, please provide exemption) - List of name listed as workers under the workers compensation, (Only the employees listed under the workers compensation will be allowed in the Yard)
b) Vessel owners assume full responsibility for the acts and omissions of their contractors, subcontractors, vendors, visitors, and crew members.
c) All individuals must have legal U.S.A. immigration status with proper endorsements in order to work at UMC’s facility.
2) SEWAGE (BLACK WATER):
a) It is illegal to discharge raw or untreated sewage into the waters of Broward County and such acts are punishable by fines of up to $25,000.00 per day.
b) All permanently installed sewage systems on vessels must be either type 1 or 2 marine sanitation devices or must be locked while the vessel is at our docks for pump out. Pump outs can be arranged, as needed, through UMC’s yard office for disposal by an approved vendor.
3) BILGE WATER (OILY WATER):
a) Bilge water contaminated with oil, fuel or other contaminants may not be discharged into the water or on the land. Turn off your bilge pumps if necessary. Bilge cleaning and pump out can be arranged, as needed, through UMC’s yard office for disposal by an approved vendor.
4) PETROLEUM AND OTHER HAZARDOUS MATERIAL RELATED PRODUCTS;
a) No controlled or toxic substances may dispose of in the dumpsters, storm drains or into the water or onto the land.
b) All waste including: oily water, oil, fuel, gasoline, anti-freeze, filters, contaminated rags, paints and solvents, must be properly labeled and identified prior to disposal and then must be disposed of in the proper containers with UMC staff supervision. Approved vendors will dispose of all such materials and the disposal fees will be assessed on your invoice.
c) Fueling operations may be arranged on a selective basis with a UMC approved fueler that maintains the required insurance and spill equipment. This operation must be coordinated and monitored by UMC staff.
d) Crew hand washing of a vessel is permitted using only biodegradable soap in limited amounts.
e) Contractors and sub-contractors are responsible for removing from UMC’s premises all their respective waste, controlled or toxic substances, trash and debris that they generate. Failure to properly dispose of waste and adhere to UMC’s policies will result in special assessments to the vessel that hired them and removal of that contractor from the yard.
f) Should any spills occur either on water or on land, they will be contained and cleaned by yard-hired personnel and billed at market rates. Spills will also be reported to the proper agencies/authorities as required by law.
g) We do not regulate or monitor fresh water outlets (except when government imposed water rationing is in effect), so please use water with discretion.
5) GENERAL RULES;
a) Each and every person visiting or working on a vessel must be registered with UMC office.
b) Everyone working, who is not a listed crew member aboard your vessel, is considered a contractor. Please see that they comply with all applicable local, state, and federal laws, rules, and regulations.
c) All work in progress must be put away or stored at day’s end and may not be left unattended outside on the docks or bulkheads.
d) It is hereby agreed that the use of UMC’s facilities is at the Owner of the Vessel’s own risk. The legal Owner of the Vessel, and its beneficial owner if different from the legal Owner, hereby agree, jointly and severally, to be responsible for, and to fully indemnify and hold UMC harmless from, any and all claims of any kind arising out of or relating to the presence of the Vessel at the UMC facility and any work performed on the premises or off the premises if by UMC or any agent or employee thereof, including but not limited to claims for property damage, personal injury, death, or third-party liability, whether occasioned by :
i) breach or disregard of any obligation of the Owner under this Agreement, or violation of any applicable local, state, or federal law, rule, or regulation;
ii) any latent or patent condition of UMC’s premises or any act or commission on the part of UMC, its agents, or employees, unless occasioned by their gross negligence or willful misconduct;
iii) any claim of loss or damage to the Vessel, its tenders, equipment, or contents, resulting from fire, theft, vandalism, collision, allision, engine failure, windstorm, rain, hurricane, or other casualty loss;
iv) loss or damage of any other kind caused by the Vessel, its equipment, the Owner, crew, or any other agent or employee of Owner.
v) Universal Marine Center prohibits use, possession, solicitation for or sale of narcotics or other illegal drugs, or alcohol on the premises at any time (24/7).
If at any time your length of scheduled dockage needs to be extended due to a pre-existing reservation, Universal Marine Center reserves the right to ask the vessel to move to a different dock on sight, (If available) or to leave the shipyard.
On behalf of the Vessel, the Owner, and the beneficial owner of the Vessel if any, we accept the rates, terms, and conditions set forth above, and understand and agree to adhere to the policies stated:
